Exclusive Right to Sell Agreement

If you are listing a business for sale on WorldBusinessesForSale.com, the following Sales Agreement ("Agreement") applies in addition to the general Terms and Conditions above.

1. Term of Agreement

This Agreement is valid for a term of six (6), nine (9), or twelve (12) months from the date you accept these terms ("Effective Date"), depending on the chosen plan. After the initial term, the Agreement will automatically renew unless terminated as outlined below.

2. Services and Commission Rates

When you list your business with us, you choose one of the following service plans:

• Basic Plan: 4% commission on the total sale price.
• Standard Plan: 3% commission on the total sale price.
• Premium Plan: 2% commission on the total sale price.
• Swift Sales Plan: 5% to 10% commission on the total sale price, with the specific rate determined in advance for more complex transactions.

If you are a business broker listing a business for sale on our platform, the agreement is a 12-month contract. You will be charged a commission of 2% for the Basic plan, 1.5% for the Standard plan, and 1% for the Premium plan. Commissions are payable only upon a successful sale.

Pay-As-You-Go Plans: No Commission Policy
Our Pay-As-You-Go plans (Standard and Premium) operate on a strict no-commission basis, meaning there will be no additional fees based on the final sale price of your business. These plans are structured as one-time purchases or flexible monthly subscriptions, providing transparency and predictability in costs. By choosing a Pay-As-You-Go plan, you agree to these terms and acknowledge that support is provided solely within the scope of the purchased plan.

3. Non-Exclusive Listing Commission Payment:

Regardless of how your business is sold—whether through WorldBusinessesForSale.com, another broker, or directly by you—you agree to pay us the applicable commission percentage based on the plan you selected. This is a non-exclusive listing, meaning you can sell your business independently or through other brokers, but if your business sells during the listing period, the agreed-upon commission will be due to WorldBusinessesForSale.com.

• When is Payment Due? Commission payments are due upon the successful completion of the sale of your business. Payment must be made within 14 days after the sale closes.
• Minimum Commission for Swift Sales: If you selected the Swift Sales Plan, please note that the minimum commission starts at 5% of the total sale price.
• Broker Listing Commission: If a business broker lists a business for sale on our platform, a commission fee of 1% to 2% of the total sale price will be charged, depending on the broker's chosen selling plan.
• Individual Listing Commission: If an individual business owner lists their business for sale on our platform, a commission fee of 2% to 4% of the total sale price will be charged, depending on the selected selling plan.

4. Your Responsibilities

• Accurate Information: You must provide accurate and complete information about your business to help us market it effectively.
• Notification of Sale: You must notify us immediately if your business is sold, regardless of how the sale occurs.

5. Exclusivity

By listing your business with us, you acknowledge that even if your business is sold by another broker, privately, or directly, you are still obligated to pay us the agreed-upon commission.

6. Termination

• Early Termination: Either party can terminate this Agreement with 30 days' written notice.
• Commission After Termination: If your business is sold within 90 days after termination to a buyer introduced by us or as a result of our marketing, you are still required to pay the agreed commission.

7. Governing Law

This Agreement is governed by the laws of United Kingdom or your country Jurisdiction. By using our services, you agree to submit to the jurisdiction of these laws.

8. Entire Agreement

This Agreement, together with our Terms and Conditions, constitutes the entire understanding between you and WorldBusinessesForSale.com and supersedes any previous agreements or communications.

9. Amendments

Any changes to this Agreement must be made in writing and signed by both parties.

Acknowledgment

By listing your business on WorldBusinessesForSale.com, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
